These Terms of Service ("Terms") govern all services and products provided by VC United LLC ("VC United," "we," "us"). VC United offers its services exclusively to businesses, entrepreneurs, self-employed individuals, and other persons acting in a commercial or professional capacity (B2B).
These Terms apply to all agreements between VC United LLC and the client ("Client") for consulting, advisory, mentoring, and analysis services, as well as the sale of digital products. By booking, the Client confirms that they are entering into the agreement in the course of their trade, business, or profession. Any conflicting terms of the Client do not apply unless we expressly agree in writing.
The presentation of services on our website is an invitation to make an offer, not a binding offer. By booking an appointment, submitting a form, or purchasing a digital product, the Client makes a binding offer. The contract is formed upon our express acceptance or, at the latest, upon delivery of the service or product. Contract languages are English and German.
The scope of each service follows from the individual proposal or the service description on our website. We perform our services with due care and to the best of our knowledge. Our services do not constitute a guarantee of any specific result or outcome. Sessions take place by video conference or in person unless otherwise agreed.
After payment, the Client receives access to the digital product. The Client obtains a simple, non-transferable right to use the product for their own business purposes. Resale, reproduction, or commercial exploitation toward third parties is not permitted without our prior written consent.
All prices and billing are in US Dollars (USD). Prices are exclusive of any applicable taxes. As a business, the Client is responsible for the correct tax treatment in their own jurisdiction (e.g., VAT / reverse charge). Payment is due in advance by credit or debit card via Stripe (Stripe Payments Company, LLC and Stripe, Inc., USA), or by invoice and bank transfer. Where payment is by invoice, the amount is due within the period stated on the invoice.
As our offering is exclusively B2B, no statutory consumer right of withdrawal applies. Cancellations or rescheduling are possible only by written agreement and are governed by the cancellation and notice terms stated in the relevant proposal. If, in an individual case, a consumer (a natural person acting for private purposes) nevertheless enters into a contract, mandatory consumer protection rights of their place of residence remain unaffected. In that case, for digital content not supplied on a physical medium, any right of withdrawal expires once the consumer has expressly agreed that performance begins before the withdrawal period ends and has acknowledged that they thereby lose that right.
We are liable without limitation for damages arising from injury to life, body, or health. Otherwise, our liability is limited to intent and gross negligence. In all cases, liability is capped at the amount the Client paid for the relevant service.
Both parties agree to keep confidential all confidential information obtained during the engagement. This obligation survives termination of the agreement.
These Terms are governed by the laws of the State of Wyoming, USA, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes is Sheridan, Wyoming, USA. Where mandatory protective provisions in favor of a consumer apply in an individual case, they remain unaffected.
If any provision of these Terms is invalid, the validity of the remaining provisions is not affected. Amendments must be in writing. We may amend these Terms with 30 days' notice.
